Terms and conditions
1. General conditions
Defined terms:
Buyer – a natural/legal individual that registers on the website files.remapas.lt
Seller – IĮ Remapas, ID number 304241076, that manages remapas.eu, files.remapas.lt websites and provides services, goods to its buyers.
File – the control unit program created to control a vehicle.
Slave user – a buyer who purchases the slave equipment from the seller. The equipment is tied to seller’s master equipment, following the assistance system provided by the seller.
Master buyer – a buyer that has the equipment which is does not depend on the seller and does not require the support system.
Support system – the support for a buyer provided by the seller. That includes any guidance, tutorials related to vehicle programming work. The buyer and the seller should agree on the methods and possibilities, according the agreement and terms. For instance, slave users that purchase slave equipment from the seller, are entitled to have the support system for free for the whole year, after that it is available after paying the annual fee.
Credits – the currency that buyers of files.remapas.lt use in order to purchase files.
Equipment – various electronic devices (tools) that are used in programming work.
Goods – an equipment that a buyer purchases from the seller.
1.1. These terms and conditions aligned to remapas.eu and files.remapas.lt, also considering buyer’s consent, are a legal document that binds on the parties and sets out the rights and obligations for both, a buyer and a seller. The terms, such as, purchasing and paying for services and goods, procedures of returning, the liability of the parties and other conditions related to purchasing services, goods on the files.remapas.lt, remapas.eu websites.
1.2. The seller has the right to change terms and conditions at any time. In that case, a buyer is informed about the changes via e-mail. In order to continue using files.remapas.lt, remapas.eu services, a buyer has to accept the changes and agree with it.
1.3. To use files.remapas.lt services and buy goods from there are able:
1.3.1. Active adult natural individuals and their legal representatives as authorized people.
1.3.2. Legal individuals and their authorized persons, legal representatives.
1.4. Files.remapas.lt is a website that provides vehicle control unit program adjustment services. Registered users can purchase credits on the website and use them for mentioned assistance and facilities. The procedure of providing these services:
Master user – a buyer gets acquainted with particular services and other relevant information provided on the remapas.eu website, registers with files.remapas.lt, acquires some credits. After the original file is read, it needs to be uploaded to the files.remapas.lt system, following terms and conditions. Then a buyer chooses what kind of modifications are needed to proceed and indicates all the necessary information. The seller always specifies the preliminary time for the process. After proceeding the modifications, the seller uploads the modified file back to the files.remapas.lt system and charges a buyer with credits, that allows a buyer to download and use the modified file according to the purpose. Note that, a buyer has to purchase some credits before uploading the first file. However, after that it is possible to upload other files first and get some credits after.
Slave user – a buyer gets acquainted with particular services and other relevant information provided on the remapas.eu website, after acquires the selected slave equipment and registers on files.remapas.lt, also acquires credits. After reading an original file, a buyer needs to upload it to the files.remapas.lt system, according to the terms and conditions, it has to be chosen what kind of modifications are needed, as well as all the necessary information provided. The seller always specifies the preliminary time for the process. After proceeding the modifications, the seller uploads the modified file back to the files.remapas.lt system and charges a buyer with credits, that allows a buyer to download and use the modified file according to the purpose. Note that, a buyer has to purchase some credits before uploading the first file. However, after that it is possible to upload other files first and get some credits after.
2. Data protection
2.1. The information related with personal data and provided or registered on the files.remapas.lt website (also provided to the seller) is the subject of the seller’s personal data policy (see these terms in detail provided on the ‘Privacy Policy’). A buyer must agree with the Privacy Policy before registering and using to files.remapas.lt.
3. Conlusion of a purchase and sale agreement
3.1. The agreement between a buyer and the seller is concluded when a buyer uploads an original file to the files.remapas.lt system and sends it to the seller.
3.2. Each contract concluded between a buyer and the seller is registered and stored in the files.remapas.lt database.
3.3. In cases where a buyer purchases the equipment from the seller, the moment of concluding the contract is considered the moment when the buyer pays the invoice in advance and which is sent by the seller.
4. Obligations and rights intended for buyers
4.1. A buyer must pay for the goods or services as well as accept them, according to these rules.
4.2. A buyer has the right to return the equipment only if it was not unpacked or used/damaged. It is possible to return it within 14 days after purchasing the goods, according to the individually agreed terms and delivery methods.
4.3. A buyer is not allowed to return individually created files, money cannot be refundable
4.4. A buyer is not permitted to re-sell or in any other way distribute the files to the third parties, and all copyright and intellectual property rights related with the files belong to the seller. If any of these conditions are violated, a buyer has to indemnify all caused damage, including the loss of income for files. All files that are modified by the seller also are the intellectual property of the seller.
4.5. By uploading the original file of a specific car and requesting specific modifications, a buyer undertakes to use the modified file once and only for that specific car, otherwise a buyer undertakes to indemnify the damage. The seller shall not be liable for any damages that may result from non-compliance with this clause.
4.6. A buyer has the right to buy goods and use vehicle control unit error modification and correction services on the files.remapas.lt website.
4.7. By using files.remapas.lt, a buyer undertakes to comply with these rules and other conditions, which should be discussed between the buyer and the seller individually and without violating the legislation of the Republic of Lithuania and international law.
4.8. The obligations and rights intended for a buyer may be discussed in other clauses of these rules.
5. Obligations and rights intended for seller
5.1. The seller has the right to cancel buyer’s registration on the files.remapas.lt website and restrict the use of it, considering objective reasons. For instance, when a buyer does not comply with these rules or tries to damage the website and its systems.
5.2. The seller has the right to end the activities on files.remapas.lt without prior notice to the buyer for any significant reasons.
5.3. The seller has the right to refuse to modify or improve certain individual files.
5.4. The seller can enable the usage of the services provided by files.remapas.lt under the conditions set according these rules and files.remapas.lt.
5.5. The Seller undertakes to respect buyer’s right regarding to the privacy of the personal information specified in the registration form. It is aimed to treat the specified information in accordance to the Privacy Policy rules and the laws of the Republic of Lithuania.
5.6. In some individual cases, after prior discussion with the buyer, the seller has the right to extend the initial term for modification or the improvement of files.
5.7. All modified and improved files by the seller are the property of the seller too.
5.8. The seller undertakes to provide the guidance and specific information to slave users. Additionally, assist by using the services on files.remapas.lt.
5.9. The seller does not have any legal relationship with buyer’s customers, partners or any other third parties, as well as the seller is not responsible for them and is not accountable to them.
5.10. The Seller is not responsible for any violations of the legislation of the buyer’s country of the origin. A buyer understands that some services and goods may conflict with domestic or the foreign, the international law, vehicle manufacturers’ warranty conditions or other contracts with third parties and assumes its full responsibility for these matters. The seller is not liable to any violations at any conditions or circumstances.
5.11. The seller is not liable to any damage that may occur to the buyer’s vehicle during or after the programming work.
5.12. The rights and obligations intended for the seller may be discussed in other clauses of these rules.
6. Prices, orders, delivery and terms of goods and services
6.1. The prices of goods and services are indicated in euros and afterwards credits on remapas.eu and files.remapas.lt websites. The prices of goods (equipment) are indicated on the remapas.eu website in euros, the file prices are indicated on the files.remapas.lt website in credits.
6.2. A buyer pays in a convenient way, which is indicated on the files.remapas.lt website. The buyer does not buy a specific file or its corrections, but credits. That refers to the payment on the website. 1 Eur (one euro) in its value is equal to 1 CRD (one credit). Credits cannot be returned to the seller.
6.3. The deadline for preparing the files starts from the moment when the payment is received.
6.4. The prepared file is uploaded by the seller to the files.remapas.lt system and credits are deducted from the buyer’s profile. At this point, the service is considered provided, except in individual cases indicated by slave users that need help and advice in order to compile the file.
6.5. When purchasing the equipment, the seller sends a preliminary invoice to a buyer, and begins to execute the order. The terms and conditions regarding the order are discussed and agreed upon by the parties individually. The seller shall issue an invoice and send it to the buyer at the address specified together with the goods or via e-mail.
6.6. Slave users that purchase the equipment during the first year, receive free assistance and credits from the seller right from the first day of its activation. The amount of free credits is discussed with the seller. At the end of the year term, if a buyer wants to continue receiving the assistance, the membership has to be renewed and an annual individually adjusted fee paid in advance. Slave users that have not purchased equipment from the seller but want to receive the assistance, have to pay an annual membership fee starting from the first year.
6.7. The seller shall indicate the estimated time for all the file modifications separately, as well as estimate what kind of improvements might be made.
6.8. The goods are delivered to a buyer considering agreed delivery methods and terms. The seller is not responsible for delivery delays.
6.9. Shipping, customs and other related costs are paid by a buyer.
7. Final conditions
7.1. The seller is released from any liability in those cases when the loss arises due the fact that a buyer has not read the terms and conditions, when there was an opportunity.
7.2. The law of the Republic of Lithuania is applied to the parties, and all disputes are examined by the laws of the Republic of Lithuania.
